Sound Club Terms of Service

Welcome to Sound Club. These Terms are the agreement between you and Sound Club LLC ("Sound Club," "we," "us"). They cover the Sound Club website at soundclub.app, the Sound Club iPhone and Android apps, our emails and notifications, and Sound Club sessions, online and in person (together, "Sound Club").

By creating an account, signing in, RSVPing to a session, or otherwise using Sound Club, you agree to these Terms, our Community Guidelines and our Privacy Policy. If you don't agree, please don't use Sound Club.

1. Who can use Sound Club

  • You must be 13 or older. We don't allow accounts for children under 13. If we learn that someone under 13 has an account, we will close it and delete its information.
  • If you're under 18, you need a parent's or guardian's permission to use Sound Club. Parents and guardians are responsible for their teen's use.
  • You can't use Sound Club if we've banned you before, or if the law where you live doesn't allow it.

2. Your account

Signing in. You can sign in with a code we email you, with an email and password, with Sign in with Apple, or with Sign in with Google. Accounts that use the same verified email are treated as one account.

Keep it accurate and secure. Give us a real email address you can reach, and keep it up to date. Keep your password and devices safe. You're responsible for what happens under your account. Tell us right away at admin@soundclub.app if you think someone else is using it.

One person, one account. Use one account and don't pretend to be someone else. Sound Club uses usernames, not real names. Pick a username that doesn't impersonate anyone or break the Community Guidelines. We may change or reclaim a username that does.

3. The Community Guidelines

Our Community Guidelines are part of these Terms. They apply everywhere on Sound Club: discussions, replies, listening rooms, private messages, profiles, club pages, sessions, and in person at Sound Club events. Please read them. In short: talk about the music, disagree kindly, and keep it safe for everyone.

4. Zero tolerance for objectionable content and abusive users

Sound Club has no tolerance for objectionable content or abusive users. That includes harassment, bullying, hate speech, threats, encouraging violence or self-harm, sexual content, graphic violence, illegal content, spam, and anything that sexualizes minors.

  • Report. You can report any post, message, member, club or session with Report. The person isn't told who reported them.
  • Block. You can block anyone with Block. You stop seeing each other's posts and messages, they can't message or mention you, and any follows between you are removed. They aren't told.
  • We review every report within 24 hours and act on content that breaks these Terms or the Community Guidelines, including removing it and removing the person who posted it.
  • Content that sexualizes minors is removed immediately, the account is banned, and we report it to the authorities.

5. What we can do when rules are broken

Depending on what happened and whether it has happened before, we may:

  • hide or remove a post, message, session or club,
  • send a warning,
  • suspend an account for 7 or 30 days (you can still read, but not post, react, RSVP, message, follow or join clubs),
  • close an account permanently (ban).

Hate, threats and sexual content involving minors lead straight to a ban. We tell you by Inbox notice and email when we act on your account. If you think we got it wrong, reply to that email or write to admin@soundclub.app. We may also act on accounts or content to protect people, follow the law, or keep Sound Club running, even when no report was made, at our discretion. If we ban you, you may not create a new account. You can ask us to review a ban by writing to admin@soundclub.app, and we may lift it.

6. Your content

You own what you post. Posts, replies, reactions, ratings, private messages, profile photos, bios, club descriptions and pictures, session details and anything else you add ("your content") stay yours.

The license you give us. So we can run Sound Club, you give us a worldwide, non-exclusive, royalty-free license to host, store, copy, display, adapt (for example, resize a photo or show a post in a feed, email digest or share card) and distribute your content in connection with operating, improving and promoting Sound Club (for example, featuring a post in the weekly digest or Sound Club News), and to let our service providers do the same on our behalf. This license ends when your content is deleted, except:

  • where others have already shared or interacted with it (for example, replies to your post),
  • for posts and private messages that stay after you delete your account (see section 14), and
  • for copies we must keep for legal, safety or backup reasons for a limited time.

You're responsible for your content. Only post what you have the right to post. Don't post full song lyrics, pirated music or files, or anyone else's private information. Club hosts and Sound Club may hide or remove content, but we don't check everything before it appears and we aren't responsible for what members post.

Feedback. If you send us ideas or suggestions (for example, through Contact Admin), we may use them without owing you anything.

Copyright complaints. We respect copyright and respond to notices under the US Digital Millennium Copyright Act (DMCA). If you believe something on Sound Club infringes your copyright, send our designated agent a notice that includes: your contact details; the work you believe is infringed; where the material is on Sound Club (a link); a statement that you believe in good faith the use isn't authorized; a statement, under penalty of perjury, that your notice is accurate and that you're the owner or authorized to act for the owner; and your physical or electronic signature. If your content was removed and you believe that was a mistake, you can send a counter-notice. We close the accounts of repeat infringers.

7. Clubs and hosts

  • Anyone can start a club and becomes its owner. The owner can make members co-hosts. Owners and co-hosts ("hosts") pick albums, run album polls, manage discussions, schedule sessions and edit club info.
  • Hosts can hide posts in their club, remove members, and see and act on reports about their club. Hosts must apply the Community Guidelines fairly to everyone, including friends.
  • Hosts are members, not Sound Club staff. They don't speak for Sound Club, and Sound Club isn't responsible for their decisions. Sound Club can review, reverse or override any host decision.
  • A club with no current or upcoming album for 30 days after its last album ends is archived: hidden and read-only, with everything kept. The owner can bring it back by picking a new album. Sound Club may also archive or close clubs that break these Terms.
  • Only the owner can delete a club or change who the owner is.

8. Private messages and following

  • Private messages are one-to-one conversations. A message from someone you don't follow and don't share a club with arrives as a request you can accept, delete, block or report.
  • Private messages are between the two of you, but they aren't confidential from Sound Club: we may read, scan or analyze them (including with automated tools) for moderation, safety and legal compliance, and we review messages that are reported. See our Privacy Policy for details.
  • Don't share someone's private messages without their permission.
  • Following is open and one-way. Anyone signed in can see who you follow and who follows you. Blocking someone removes follows between you.

9. Sessions: online and in person

Online sessions are live listening rooms where a club listens to an album together and chats. You need an account to join. Chat in a listening room is part of the club's discussion.

In-person sessions are events at a venue, organized by a club's host.

  • Sound Club is only a tool for announcing events and managing RSVPs. We don't organize, run, staff, host, inspect, supervise or endorse in-person sessions or venues, and we aren't responsible for them or for anything that happens at them. Hosts and venues are responsible for their events, including the venue, its safety and capacity, and keeping details accurate.
  • At any session, treat the venue, its staff and other guests with respect and follow the venue's rules (including age rules, such as for venues that serve alcohol).
  • You attend at your own risk. To the fullest extent the law allows, you release Sound Club LLC from claims arising from in-person sessions, including injury, loss or damage caused by hosts, venues or other attendees.
  • If you host a session, you're responsible for your event: choosing a suitable venue, following its rules and local laws, keeping the details accurate, and how the event is run.
  • RSVPs and waitlists. When a session is full, new RSVPs join a waitlist. If you can't make it, cancel so someone on the waitlist can go.
  • Guests. Some in-person sessions let people RSVP without an account by giving their first name, last name and email address. Guests can see the session details and are emailed about changes or cancellations. The host sees guests' names and emails to manage the event. By RSVPing as a guest you agree to these Terms and the Community Guidelines, and you confirm you're 13 or older (with a parent's or guardian's permission if you're under 18).
  • Don't photograph or record people at in-person sessions without their OK.

Apple Music play-along. In online sessions, Apple Music subscribers can choose to connect their own Apple Music account so the album plays in sync with the room. Playback comes from Apple under your Apple Music subscription and Apple's terms. Sound Club doesn't charge for it.

10. Music and other services

  • Sound Club doesn't host, sell or stream music. We show album information (titles, artists, track lists, cover art) and links to listen on services like Spotify, Apple Music, Amazon Music, YouTube Music, Deezer and Tidal. Album information comes from those services. Music content is provided by Spotify and other services.
  • When you follow a link to another service, or connect Apple Music for play-along, that service's own terms and privacy policy apply. We aren't responsible for other services, their content or their availability.
  • Album information can be incomplete or out of date. An album can be unavailable on a service or in your country.

11. AI-generated content

Some content on Sound Club, such as album listening guides, discussion questions and club genre tags, is generated by artificial intelligence (AI), and we label it where it appears. AI-generated content can contain mistakes, including wrong facts about artists, albums or songs. It's meant as a starting point for listening and conversation, not as a source of truth. Tell us at admin@soundclub.app if you spot an error.

12. Fees

Sound Club is free to use today. There are no subscriptions or in-app purchases, and we don't sell anything through Sound Club. We may offer paid features in the future. If we do, we'll tell you the price and terms first, and you won't be charged unless you choose to buy. Your mobile carrier or internet provider may charge for data. Music services charge their own fees.

13. Using Sound Club responsibly

Don't:

  • break the law or help anyone else break it,
  • use bots, scripts or other automated tools to post, react, follow, message, join clubs or collect information from Sound Club (including scraping profiles or emails),
  • try to get into accounts, data or systems that aren't yours, or test, bypass or break our security or the limits we set (such as daily message limits),
  • interfere with Sound Club, overload it, or spread viruses or harmful code,
  • copy, modify, reverse engineer or resell Sound Club's software, except where the law allows,
  • use Sound Club to advertise, sell things or collect followers for somewhere else (see the Community Guidelines).

14. Deleting your account, and when we end access

You can delete your account anytime. On the web: Account › Settings › Delete account. On iPhone: Account › Delete account. Type DELETE and confirm. If you can't sign in, email admin@soundclub.app from your account's email address and we'll delete it within 30 days.

  • If you own an active club, you'll first need to make a co-host the owner or delete the club.
  • When you delete your account, your email, sign-in, profile, ratings, RSVPs and club memberships are deleted. Your posts stay in their discussions as "Former member," with no name or photo. If you'd like a post removed, delete it before you delete your account. Your private messages stay in the other person's conversation, also as "Former member". Our Privacy Policy explains the details.
  • Deleting your account can't be undone.

We can suspend or end your access if you break these Terms or the Community Guidelines, if the law requires it, or if continuing would create risk or legal exposure for Sound Club or others. We can also change, pause or stop any part of Sound Club. If we shut down Sound Club entirely, we'll email you at least 30 days before. Sections that by their nature should continue (such as 6, 15, 16 and 17) continue after your account ends.

15. Our rights

Sound Club's name, logo, design, software and the content we create (other than your content and content from music services) belong to Sound Club LLC or our licensors. You may use Sound Club for your personal, non-commercial use under these Terms. Nothing here gives you any other rights to our brand or software.

16. Disclaimers and limits on our liability

  • Sound Club is provided "as is" and "as available." We work hard to keep it running and safe, but we can't promise it will always be available, error-free or secure, or that content on it (including content from members, music services or AI) is accurate.
  • To the fullest extent the law allows, Sound Club LLC isn't liable for indirect, incidental, special, consequential or punitive damages, or for lost data, profits or goodwill, arising from your use of Sound Club, other members' conduct (online or at sessions), or third-party services.
  • To the fullest extent the law allows, our total liability for all claims about Sound Club is limited to the greater of US $100 or the amount you paid us in the 12 months before the claim.
  • Some places don't allow these limits, so they may not all apply to you. Nothing in these Terms limits rights you have by law that can't be limited.
  • Indemnity. You agree to defend and cover Sound Club LLC (and its owners and team) against claims, losses and costs, including reasonable legal fees, that come from your content, your conduct (online or at sessions), or your breaking these Terms or the law.

17. Disputes

If you have a problem with Sound Club, please write to admin@soundclub.app first. Most issues can be solved that way.

These Terms are governed by the laws of the State of Hawaii, without regard to its conflict-of-law rules. Any dispute will be handled in the state or federal courts located in Honolulu, Hawaii, and you and we agree to those courts' jurisdiction. Either of us may instead bring a claim in small claims court where you live or in Honolulu, if it qualifies.

18. App stores

If you use the Sound Club app from Apple's App Store or Google Play, you also agree to that store's terms. Apple and Google aren't responsible for the Sound Club app or its content, and these Terms are between you and Sound Club LLC, not Apple or Google. If you downloaded the app from Apple's App Store, Apple's standard Licensed Application End User License Agreement also applies, and Apple is a third-party beneficiary of these Terms for that purpose.

19. Changes to these Terms

We may update these Terms as Sound Club changes. When we make an important change, we'll email you at least 30 days before it takes effect and update the date at the top. Smaller changes (like clearer wording or new features) take effect when we post them. If you keep using Sound Club after the change takes effect, you accept the new Terms. If you don't agree, you can delete your account.

20. Other terms

These Terms, the Community Guidelines and the Privacy Policy are the whole agreement between you and us about Sound Club. If part of these Terms can't be enforced, the rest still applies. If we don't enforce something right away, we haven't given up the right to do so later. You can't transfer these Terms to anyone else. We may transfer them if Sound Club is sold or reorganized.
